I want a program that will monitor my CPU temps and shutdown at 70 degrees. I have used Motherboard Monitor but I don't like that you have install a 3rd part application to get it to do so. Is there a single program or do I have to keep running 2?

I don't know of one, but have you checked to see if the motherboard manufacturer has one? One came with my MSI K7D that was pretty fancy, but I don't remember if it did that.

I am using WindowsXP and MBM5. For shutting down the PC once it reaches a certain temperature I issue the command "shutdown.exe" (found in X:\WinDIR\System32) with the parameters "-s -f -t 0" (forcedly shut down in 0 seconds). Hope this helps you.

Im using a K7D Master L and Windows 2003 server. I will see if 2003 has shutdown as well.

It should be no problem. Server 2003 can do everything XP can, and more.
