Why wouldn't it?
A matx mobo has fewer pci slots, pci-e.....etc.
It will fit in there just as good as the atx mobo.

i know size wise it would, wasnt sure if all the I/Os are in the same place and such
Yep, everything will line up just fine. You'll have some space left over where there are extra PCI slots etc on the case, but at the other end, they're all the same. ITX, mATX etc are all based on the same design for the basic I/O panel, you just get more extras the bigger you go.
